The firm is involved in infrastructure and public private partnership (“PPP”) projects that directly drive economic development. We are particularly proud to be part of Nigeria’s infrastructure boom as we support project sponsors to achieve bankable projects, assist lenders in securing their interests, and work with governments to create enabling frameworks for PPPs in the provision of public infrastructure.

Our infrastructure practice covers roads, highways, bridges, railways, ports, airports and water projects, among others. We represent government agencies, concessionaires, contractors and lenders in all relevant phases of a project cycle. From the planning phase where we are able to conduct full regulatory due diligence (and, in the case of existing projects, due diligence review of the project’s assets) and advise on the permitting regime, legal constraints and regulatory risks; to procurement development, financing, construction and operation, as well as refinancing and secondary investments. We provide full transactional support to clients and review, draft and negotiate relevant project agreements including concession agreements, government support agreements, construction agreements, fuel supply agreements, offtake agreements, operation and maintenance agreements and also financing and security documents. We identify all relevant projects risks and proffer advanced techniques for their mitigation.

Our lawyers have advised the Bureau of Public Enterprises on railway sector reforms and prepared a Railway Bill to support PPPs in the railway sector; advised the Lagos State Government on developing a PPP law and policy particularly as it relates to power, transportation and water projects; represented the Lagos State Government in negotiating a concession agreement for a monorail project; and advised on a water concession project.

Representative Experience

Members of our team possess the following infrastructure experience:

  • Legal Consultant to the Bureau of Public Enterprises.  Drafted a Railway Bill which seeks to provide a framework for the restructuring the railway sector in accordance with the proposed National Transport Policy and allow private sector participation in the provision of railway infrastructure and services through concession arrangements.
  • Legal Consultant to the Nigeria Infrastructure Advisory Facility (“NIAF”), DFID’s flagship infrastructure development programme in Africa.
  • Advised the Lagos State Government on the legal framework for the development of PPP projects in the transport, power and water sectors within the State. Reviewed all relevant state and federal laws and advised on key impediments to the successful implementation of the State’s PPP Programme.
  • Reviewed a draft PPP Bill for the Lagos State Government and advised on its impact on existing legislation and the role of the proposed PPP Unit.
  • Advising the Federal Capital Territory Administration on the development of a legal framework for PPPs in bus transportation services.
  • Legal Adviser to an Infrastructure Bank on the process for launching a railway concessioning programme under the current legal and regulatory framework. Also identified impediments to private sector participation in the railway sector.
  • Represented the Lagos State Government in the negotiation of a proposed monorail concession.
  • Legal Adviser to a bidding consortium for the proposed Lagos Rail Mass Transit Project. Advised on the taxes, levies and incentives applicable to the proposed project.
  • Advised on a water concession project. Reviewed the concession agreement, joint venture agreement and advised on the existing regulatory framework.
  • Advising a concessionaire on the development of a mass student housing project for several universities in Nigeria.
