Our mining practice is well ahead of the curve. Like our other practice areas, our consultants have played major roles in the development of Nigeria’s mining sector policies and legislation. Notably, one of our Chief Consultants drafted the basis of the existing mining law – the Nigerian Minerals and Mining Act, 2007 – and has continued to contribute to mining policy dialogues between the Federal Government and stakeholders.

We leverage on our strong policy background and detailed understanding of the mining business to provide comprehensive advice and solutions to our clients. Our consultants have advised exploration and mining companies on the acquisition and transfer of mineral titles; joint venture, option, earn-in and earn-out arrangements for greenfield and brownfield projects; mining service agreements including drilling agreements and contract mining agreements; and mine development, permitting, regulatory compliance, environmental law, surface rights and host community issues. Our consultants routinely conduct title investigations in connection with mergers and acquisitions and capital raisings and support project sponsors during the preparation of bankable feasibility studies by providing relevant legal, regulatory and tax advice.

Representative Experience

Members of our team have advised clients in the following matters:

  • Advised CGA Mining Limited on the acquisition of a controlling interest in the Segilola Gold Project – the most advanced brownfield gold project in Nigeria.
  • Represented Erin Resources Limited on the acquisition of majority interest in the Malele-Gobirawa and Bukuyum Gold Projects and several other exploration projects.  Negotiated and drafted joint venture and other relevant transaction documents.
  • Advised a Canadian mining company on a proposed acquisition of controlling interests in several lead-zinc exploration licences in eastern Nigeria. Conducted extensive due diligence on the target company and the relevant titles and advised on environmental compliance, acquisition of surface rights and foreign investment.
  • Represented Globe Specialty Metals on the acquisition of interest in several exploration licenses for manganese ore.
  • Advised a UK mining and exploration company on a proposed joint venture with a Nigerian company in respect of several exploration projects across northern Nigeria.
  • In association with international counsel, advised Areva on change of control issues relating to the acquisition of an equity stake in the offshore parent of a Nigerian uranium licence holder. Also advised on the regulatory framework for the offtake of radioactive minerals.
  • Counseled Macmahon on various legal, regulatory and permitting issues relating to its operations at Larfage’s Ewokoro Limestone Quarry.
  • Advised CGA Mining Limited on the permitting requirements for developing and operating a gold mine and associated mine infrastructure.
  • In connection with the preparation of a bankable feasibility study for a gold mining project, advised CGA Mining Limited on applicable royalties, taxes and incentives.
  • Prepared title and corporate opinions for Ratel Gold Limited on its Nigerian mining interests in connection with its C$ 14,000,000 initial public offering and listing on the Toronto Stock Exchange and the subsequent spin-off of Ratel Group Limited from Ratel Gold Limited.
  • Reviewed drilling rig lease agreements and agreement for the hire of foreign drill crew. Advised on customs regulations relating to the importation of rigs and assisted with the procurement of work permits for the drill crew.
  • Advised Golden Star Resources on the legal and regulatory framework for mining in Nigeria, country entry issues and, mineral title acquisition.
