Nosa has been involved in advising government, multinational companies and project developers on contractual, regulatory and policy issues associated with project development and operations. While a Senior Associate at a leading law firm in Nigeria, Nosa advised on notable social and energy infrastructure projects such as the development of the first private deep sea port in Nigeria under a concession agreement with the Nigerian Ports Authority backstopped by a sovereign guarantee, DoppelmayrSeilbahnen GmbH’s proposed development of an aerial cable car transport system for Lagos State and Nagarjuna’s development of a petrochemicals and fertiliser plant in Delta State’s Koko Free Trade Zone.
As part of the team at ADVISORY, Nosa has advised the firm’s energy and natural resources clients on a range of matters relating to oil and gas operations. He has also been involved in drafting and negotiating gas sale and purchase agreements and power purchase agreements, as well as conducting due diligence on oil and gas assets and the asset holding companies.
Nosa has also advised on several merger and acquisition transactions, prominent amongst which are China Merchants Holdings (International) Company Limited’s acquisition of a 47.5% stake in a Nigerian port terminal concessionaire, Tin-Can Island Container Terminal Limited; Tenaris’ acquisition of a 40% stake in Pipe Coaters Nigeria Limited, a Nigerian pipe coating company located at the Oil and Gas Free Zone, Onne; Helios’ acquisition of a stake in Nigeria’s largest switching company, Interswitch; and Naspers acquisition of a 50% stake in Konga and its subsequent co-financing of the target with a Swedish investment company, Investment AB Kinnevik.
